NOTICE OF CHANGE IN CONTROL OF A BANK HOLDING COMPANY Patriot Financial Partners, III, L.P. of Radnor, Pennsylvania and affiliated parties have applied to the Federal Reserve Board for permission to acquire up to 24.9 percent of the voting shares and thereby control of Georgia Banking Company, Inc., 6190 Powers Ferry Road, Suite 150, Sandy Springs, Georgia, 30339. Georgia Banking Company, Inc. controls Georgia Banking Company, which is located at the same address. The Federal Reserve considers a number of factors in deciding whether to approve the notice.
