NOTICE OF APPLICATION FOR MERGER OF BANK HOLDING COMPANIES Georgia Banking Company, Inc., Atlanta, Fulton County, Georgia intends to apply to the Federal Reserve Board for permission to merge with another banking holding company, Primary Bancshares Corporation, Atlanta, Fulton County, Georgia. We intend to acquire control of Georgia Primary Bank, Atlanta, Fulton County, Georgia. The Federal Reserve considers a number of factors in deciding whether to approve the application including the record of performance of banks we own in helping to meet local credit needs.
